End User License Agreement

This End User License Agreement ("Agreement") is entered into between ForteSG, Inc ("Company") and the individual or entity using the Company's software ("Customer").
1. License Grant
Subject to Customer's compliance with this Agreement and any applicable Sales Agreement, Master Service Agreement, Subscription Agreement, or Order Form, Company grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the software solely for Customer's internal business purposes.
2. Ownership
The software, including all associated intellectual property rights, remains the exclusive property of Company and its licensors. No ownership rights are transferred under this Agreement.
3. Restrictions
Customer agrees not to:
•    Copy, modify, or create derivative works of the software except as expressly permitted by law.
•    Reverse engineer, decompile, or attempt to discover the source code of the software.
•    Sell, sublicense, lease, or otherwise distribute the software to third parties.
•    Use the software in violation of applicable laws or regulations.
4. Customer Data
Customer retains ownership of all data submitted to the software. Company may process Customer data solely to provide and support the services in accordance with the applicable customer agreement and Company's privacy practices.
5. Support and Updates
Support, maintenance, and software updates are provided only as specified in the applicable Sales Agreement, Subscription Agreement, or other written agreement between Company and Customer.
6. Termination
This Agreement terminates automatically if Customer violates its terms. Upon termination, Customer must cease all use of the software. Termination does not affect any obligations under the applicable commercial agreement.
7. Disclaimer
THE SOFTWARE IS PROVIDED SUBJECT TO THE WARRANTIES, DISCLAIMERS, AND LIMITATIONS OF LIABILITY SET FORTH IN THE APPLICABLE SALES AGREEMENT OR OTHER WRITTEN AGREEMENT BETWEEN THE PARTIES. IF NO SUCH AGREEMENT EXISTS, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
8. Limitation of Liability
The parties' liability shall be governed by the applicable Sales Agreement, Master Service Agreement, Subscription Agreement, or other written agreement. If no such agreement exists, Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the software.
9. Governing Agreement
If Customer has entered into a Sales Agreement, Master Service Agreement, Subscription Agreement, or similar written agreement with Company, that agreement controls in the event of any conflict with this EULA.
10. Governing Law
This Agreement shall be governed by the laws specified in the applicable commercial agreement. If no such agreement exists, this Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
